1. What these terms cover

These Terms of Use govern your use of tulir.systems and its pages (the “Site”), operated by Tulir Systems LLC, a limited liability company formed in the State of New Jersey, United States (“Tulir Systems”, “we”, “us”). By accessing the Site you agree to them. If you do not agree, do not use the Site.

2. What the Site is

The Site is informational. It describes what our products do, how they work and what they deliberately do not do, and it links to them. It has no account of its own, accepts no uploads and collects nothing you type — the “Sign in” links here lead to the products, which hold their own separate accounts.

3. No advisory relationship

Reading this Site, or using software it links to, does not create an advisory, fiduciary, brokerage or professional relationship between you and Tulir Systems. We do not know your financial situation, objectives, tax position or risk tolerance, and nothing we publish is tailored to them. Any figure, analysis, signal, alert, projection or scenario produced by our software is information for you to consider, not a recommendation to act. See the Disclaimers.

4. Permitted use

You may read, link to, quote and share this Site. You may not:

• copy or republish substantial parts of it as your own;
• use automated means to access it in a way that burdens or disrupts it;
• attempt to gain unauthorised access to any system, account or data, whether ours or a third party’s, through it;
• use it in a way that breaks any applicable law, or that misrepresents your relationship with Tulir Systems.

5. Intellectual property

The content, design, text, code, logos and marks on this Site are owned by Tulir Systems LLC or used with permission, and are protected by copyright and trade mark law. “Tulir Systems”, “XRay My Portfolio” and “PulseAlert” are marks of Tulir Systems LLC. Names and marks of other companies that appear here belong to their owners and are used for identification only; their appearance implies no affiliation, sponsorship or endorsement in either direction.

6. Third-party links and data

This Site links to our products and may link to third-party websites. We do not control third-party sites and are not responsible for their content, terms or privacy practices. Market and reference data used in our products is obtained from third-party providers under those providers’ own terms; it may be delayed, incomplete or wrong, and we do not warrant it.

7. No warranty

The Site is provided “as is” and “as available”, without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, accuracy or non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or that information on it is current or complete. We may change, suspend or discontinue any part of it at any time.

8. Limitation of liability

To the fullest extent permitted by law, Tulir Systems LLC and anyone acting on its behalf will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or investment losses, arising out of or relating to your use of — or inability to use — this Site, however caused and on any theory of liability. Our total aggregate liability relating to the Site will not exceed one hundred United States dollars (USD 100).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. Where that is the case, the exclusions and limitations above apply to the greatest extent the law allows, and nothing here limits liability that cannot lawfully be limited.

9. Indemnity

You agree to indemnify and hold harmless Tulir Systems LLC from any claim, loss or expense (including reasonable legal fees) arising out of your misuse of the Site or your breach of these terms.

10. Changes to these terms

We may update these terms. The “last updated” date above changes when we do. Continuing to use the Site after that date means you accept the updated terms. Changes are not applied retroactively.

11. Governing law

These terms are governed by the laws of the State of New Jersey, United States, without regard to its conflict-of-laws rules. The state and federal courts located in New Jersey have exclusive jurisdiction over any dispute arising from them, and you consent to venue there.

12. Severability

If any provision of these terms is held unenforceable, the rest remains in effect and the unenforceable provision is applied to the greatest extent permitted.
